Seychelles IBC & Mauritius Banking

Seychelles IBC & Mauritius Banking

For some international entrepreneurs, a Seychelles International Business Company (IBC) may provide an appropriate corporate structure for eligible international business activities.

But establishing the company is only one part of the practical equation. The business may also require an appropriate corporate banking relationship. This is where Mauritius can become relevant.

Varemont Private provides a focused cross-jurisdiction proposition:

The company and the bank account are, however, two entirely separate processes. Understanding that distinction from the beginning is essential.

What Is a Seychelles IBC?

The International Business Company is one of the principal corporate structures used for international business through Seychelles.

Depending on the proposed activity and circumstances, an IBC may be considered by entrepreneurs conducting business internationally.

However, incorporation should never begin simply with the assumption that: “I need an offshore company.” That tells us very little about the actual requirement.

The more important questions are what the company will do, where it will operate, where its owners are based, who its customers and suppliers are, where it will be managed and what banking the business requires.

The answers help determine whether a Seychelles IBC warrants consideration at all.

Why Banking Should Be Considered Before Incorporation

One of the most common mistakes in international company formation is: Incorporate first. Think about banking later.

Before incorporating a Seychelles IBC, it is sensible to consider the nature of the business, countries where it will operate, expected customers and suppliers, transaction values, currencies, ownership and control, source of business funds and why the company requires a particular banking jurisdiction.

This does not guarantee that a bank will accept the business. It simply means that banking is considered as part of the commercial structure rather than as an afterthought.

Why Mauritius?

Mauritius has an established banking sector serving both domestic and international clients.

For eligible international businesses, this can make Mauritius one jurisdiction worth considering when a Seychelles IBC requires a corporate banking relationship.

However, the existence of a Seychelles company does not create an automatic entitlement to a Mauritius bank account.

A Mauritius financial institution will conduct its own assessment of the company, its activities, owners, directors, beneficial owners, expected transactions, geographical exposure, source of funds and the commercial rationale for the account.

The bank decides whether the relationship falls within its own risk appetite and compliance requirements.

Seychelles IBC + Mauritius Bank Account

Stage 1 — Understand the Business: establish what the proposed company is expected to do.

Stage 2 — Seychelles IBC Formation: where appropriate, incorporation is coordinated through the relevant Seychelles corporate service provider.

Stage 3 — Banking Preparation: prepare information and documentation required for the Mauritius bank-account application.

Stage 4 — Bank Application: submit to an appropriate Mauritius financial institution for its independent assessment.

Stage 5 — Additional Information: assist with coordination where the bank requests clarification or further documentation.

Stage 6 — Decision: the financial institution makes its own decision. Varemont cannot guarantee approval

What Will a Bank Want to Understand?

Corporate banking is not simply a document-checking exercise. The bank needs to understand the business behind the documents.

Relevant areas can include the company’s activity, countries of operation, ownership and beneficial ownership, management, customers, suppliers, expected transactions, source of funds and the commercial reason for seeking a Mauritius banking relationship.

A clear and credible application is therefore important.

Documentation

The precise documents required depend on the financial institution, company and individuals involved.

An application may require information relating to Seychelles company documents, directors, shareholders, ultimate beneficial owners, identification, residential addresses, business activity, a business plan or commercial explanation, expected turnover, customers and suppliers, contracts or invoices where available, source of funds, source of wealth where applicable, existing business activities and expected countries of transaction.

Additional information can be requested during the review. Varemont assists clients with preparing and coordinating the application but does not determine the bank’s compliance requirements.

What Varemont Does Not Promise

Varemont can assist with preparation, review practical application requirements, coordinate documentation, make appropriate banking introductions where available, liaise during the application process and help respond to additional information requests.

Varemont cannot guarantee account opening, override a bank’s compliance decision, determine a bank’s risk appetite, provide banking services, receive deposits on behalf of the bank or hold client funds as part of the account-opening service.

The banking relationship, if approved, is directly between the client company and the financial institution.

Not Every Seychelles IBC Will Qualify

A Mauritius bank may decide that a particular business, activity, jurisdictional exposure or ownership profile does not meet its acceptance criteria.

Financial institutions have their own policies concerning industries, countries, business models, transaction profiles, ownership structures and compliance risk. These policies can also change.

For this reason, banking should never be marketed as an automatic component of Seychelles IBC incorporation.

When the Structure May Not Be Appropriate

A Seychelles IBC will not be appropriate for every international entrepreneur.

Depending on the client’s circumstances, a different corporate structure or jurisdiction may make more commercial sense, including a UK Limited Company, UK LLP, Mauritius Domestic Company, Mauritius Global Business Company, Mauritius Authorised Company, or potentially a structure outside Varemont’s own offering.

Varemont does not need to force every enquiry into a Seychelles solution. The objective is to understand the requirement first.

Seychelles, Mauritius or the United Kingdom?

When considering an international company, asking which jurisdiction is “best” is usually too simplistic.

Instead, consider business activity, markets, ownership, management, banking, commercial perception and professional requirements.

Only once these questions are understood should jurisdiction become the central decision.

Ongoing Corporate Support

Depending on the client’s requirements and the services available through the relevant Seychelles providers, ongoing support may include registered office coordination, corporate administration, corporate records, mail forwarding, accountancy support where required, coordination with the Seychelles corporate service provider, Mauritius banking assistance and ongoing practical support.

Complexity should therefore have a commercial justification. If one appropriate company achieves the objective, establishing three companies simply because they are available may create cost without adding value.

A Focused Seychelles Proposition

Varemont does not offer a catalogue of Seychelles structures.

Our proposition is centred around the Seychelles International Business Company, combined where appropriate with Mauritius Bank Account Assistance and ongoing corporate support.

That focus is intentional. It allows Varemont to develop expertise around a defined client requirement rather than attempting to provide every structure available in the jurisdiction.

How Varemont Can Assist

For eligible clients considering a Seychelles IBC, Varemont can provide or coordinate IBC Formation, Registered Office Coordination, Corporate Administration, Mail Forwarding, Accountancy Support and Mauritius Bank Account Assistance.

Where services must be undertaken by an appropriately licensed Seychelles corporate service provider, Varemont coordinates with the relevant independent provider.

Where legal, tax or other specialist professional advice is required, appropriately qualified independent professionals should be consulted.

Final Perspective

A Seychelles IBC and Mauritius bank account can form part of the same practical business requirement. But they should never be treated as a package in which one automatically produces the other.

The company must first make sense. Then the banking requirement must make sense. And finally, the financial institution must be satisfied with the business and the individuals behind it.

The better sequence is: Understand the business. Consider the structure. Prepare the banking case. Allow the bank to make its decision. Maintain the company properly.
